On February 7, 2007, ON Semiconductor Corporation announced in a news release that it is seeking an amendment to its senior secured credit facility. A copy of ON Semiconductor Corporations news release is attached hereto as Exhibit 99.1.

ON Semiconductor Seeks Bank Amendment
Intends to Increase its Financial Flexibility
PHOENIX, Ariz. Feb. 7, 2007 ON Semiconductor Corporation (NASDAQ: ONNN) today announced that it is seeking an amendment of its senior secured credit facilities to extend the maturity date, to reduce the interest rate, and to enhance flexibility to incur indebtedness, repurchase stock and make restricted payments and investments, all subject to market and certain financial conditions. Indebtedness under the senior secured credit facility at December 31, 2006 was approximately $199 million.
With our cash, cash equivalents and short term investments exiting the fourth quarter of 2006 at approximately $269 million, our ongoing strong cash flow generating capabilities of the business and the low principal amount associated with our senior secured credit facility, we believe we are in a position to reduce the interest rate associated with our senior secured credit facility as well as amend our existing agreement to enable the company to be opportunistic in taking advantage of market conditions for share repurchases, debt prepayments and other activities currently restricted under the existing credit agreement said Donald Colvin, ON Semiconductor executive vice president and CFO.
